As Andrew Kull puts it: Where a benefit is conferred pursuant to a valid contract, the presence or absence of unjust enrichment-the starting point of analysis in restitution-can only be determined by reference to the parties' bargain. Because a voluntary agreement fixes the baseline of enrichment as between the parties, the existence of a valid contract to govern a particular transaction normally establishes a boundary beyond which liability in restitution cannot extend.
