As an example of a less prescriptive regulatory alternative, section 15 of the Massachusetts General Laws, chapter 6D, provides for certification of accountable care organizations independent of Medicare. With respect to governance, it simply requires that an accountable care organization be a legal entity separate from its constituent members; have a governance structure that includes "an administrative officer, a medical officer and patient and consumer representation"; and adopt certain governance structure standards, including standards relating to financial conflicts of interest and transparency
