15. Most commonly NEDs (non-executive directors) act independently of any personal interest in or material business relationship with a company. It is generally accepted that their role involves the representation of all shareholders equally. Occasionally an NED may represent a significant shareholder but, as noted in Higgs' Code of Best Practice, the representation of a significant shareholder by an NED would generally preclude that person from being considered independent.
