Two different proposals were introduced in 1991 to the ABA House of Delegates. By a narrow margin the ABA adopted the Litigation Section's "prohibitory" rule which prevented law firms from providing nonlegal services ancillary to the practice of law unless the services were provided by employees of the firm to clients in connection with the provision of legal services. It was repealed the following year. A Committee on Ancillary Business formulated a new rule which passed in February 1994. After the parties signed a mediation agreement in an oil and gas dispute, one party refused to execute the court settlement documents and repudiated the mediated agreement contending that he had signed it under duress because he was constantly told the case had to settle that day. The other party moved for summary judgment to specifically enforce the mediated agreement and not allow confidential mediation communications. The court ruled that a party cannot sue for specific performance of a mediation agreement while at the same time invoking mediator privilege to prevent the breaching party from supporting a defense of duress.
